Thomas Zych, Partner; Chair, Emerging Technologies Practice – Thompson Hine LLP 

Tom heads Thompson Hine's Privacy & Cybersecurity team and chairs the firm's Emerging Technologies Practice. Tom has over 30 years of experience in a wide range of data protection, intellectual property, consumer protection, social media, competition and antitrust matters. Tom represents a full range of business enterprises in their privacy and data security operations. His technology practice focuses on providing strategic counseling to both mature and early stage technology ventures, including click and mortar enterprises, biotechnology and bioinformatics ventures, and established businesses adopting electronic and technologically advanced means of competition.

Tom also has considerable experience in trade secret litigation and counseling; patent, trademark and copyright litigation; intellectual property transactions including joint ventures, development agreements and licensing transactions; corporate internal investigations; merger and acquisition counseling; antitrust criminal investigations; antitrust civil litigation; and social media marketing and advertising, promotional content, consumer testimonials, compliance with FTC standards, promotion of experimental therapies in light of advertising and privacy laws, social media service agreements and moderating employee activity on social media sites.  

Jennifer Maffett-Nickelman, Partner; Chair, Lawyer Personnel Committee – Thompson Hine LLP

Jennifer is a partner in the firm's Corporate Transactions practice group. She leads the firm's franchise practice, representing franchisors and advising them on their compliance and registration needs, operational issues and strategies and best practices to limit disputes with regulators and franchisees, as well as any disputes that do inevitably arise.

Jennifer also focuses her practice on mergers and acquisitions and other asset sales and dispositions. She works with corporate clients on their financing and borrowing needs and represents lenders and other creditors in both traditional financing transactions and the restructuring and workout of non-performing loans and accounts, both in and out of bankruptcy.

With her bankruptcy background, Jennifer has a specific niche in transactions involving distressed assets both in and out of court, including Section 363 sales under the Bankruptcy Code, receiverships and Article 9 sales under the UCC. 



Leah Singleton, Counsel – Thompson Hine LLP

As counsel in the Employee Benefits & Executive Compensation practice, Leah advises a broad range of clients on all aspects of employee benefits and executive compensation plans, including their design, implementation, maintenance, correction and termination, as well as ongoing compliance with applicable laws such as ERISA, the Internal Revenue Code, PBGC, HIPAA, COBRA, GINA and the Affordable Care Act.

Leah provides practical business guidance to clients on the design, implementation, and operation of defined benefit, defined contribution, profit-sharing, cash balance, ESOP, 401(a), 401(k), 403(b), 457 and nonqualified deferred compensation plans. She advises on pension plan funding, withdrawal issues for multiemployer plans, de-risking of pension plans, and other retirement plan compliance issues triggered by business reorganizations, plan funding, bankruptcy and reductions-in-force. She counsels clients on compliance issues, including government audits of benefit plans, submissions to the Internal Revenue Service regarding a variety of operational and plan document failures, and submissions to the Department of Labor for fiduciary compliance matters. Leah also provides advice on investments under Title I of ERISA that impact fiduciary obligations and relate to exempt and non-exempt prohibited transactions.

In addition, Leah advises buyers and sellers on benefit plan issues in corporate transactions such as mergers and acquisitions, stock purchases and asset purchases, including controlled group and affiliated service group issues, impacted benefits, plan consolidations, plan terminations and plan asset transfers.

Leah also guides public and private companies on executive compensation issues under Sections 409A, 162(m) and 280G of the Internal Revenue Code, including performance pay awards, change-in-control agreements, severance plans, equity plans, incentive plans and employment agreements.
